Terms and Conditions

The Idea Registry

Effective Date: March 1, 2026

Section 1

Acceptance of Terms

By accessing or using The Idea Registry website, platform, systems, blockchain infrastructure, or any related services (collectively, the “Services”), you agree to be legally bound by these Terms and Conditions (“Terms”).

If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you (“User”) and The Idea Registry (“Registry”, “we”, “us”, or “our”).


Section 2

Nature and Scope of Services

2.1 The Idea Registry provides a cryptographic record-keeping, timestamping, and controlled disclosure infrastructure.

2.2 The Registry does not:

  • Grant patents, trademarks, copyrights, or intellectual property rights
  • Determine legal ownership
  • Assess novelty or originality
  • Provide legal advice
  • Act as a government authority
  • Enforce intellectual property rights
  • Replace formal legal protections

2.3 The Services are evidentiary in nature only. The Registry provides cryptographic documentation and blockchain timestamp anchoring. Any reliance on Registry records in legal, commercial, or regulatory proceedings is solely at the User’s discretion and risk.

2.4 No fiduciary, agency, partnership, joint venture, or trustee relationship is created by use of the Services.


Section 3

User Representations and Warranties

By using the Services, you represent and warrant that:

3.1 You have the legal capacity to enter into this agreement.

3.2 You own or have lawful authority to submit all material registered.

3.3 Your submissions do not infringe the rights of any third party.

3.4 You will not use the Platform for unlawful, fraudulent, defamatory, abusive, or malicious purposes.

3.5 All information provided to the Registry is accurate, complete, and not misleading.

You acknowledge that you are solely responsible for all content submitted.


Section 4

No Guarantee of Legal Protection or Outcome

4.1 Registration does not guarantee protection against idea theft, infringement, misappropriation, or commercial loss.

4.2 The Registry makes no representation that courts, tribunals, regulatory authorities, or third parties will accept Registry records as determinative or conclusive evidence.

4.3 Blockchain anchoring establishes a cryptographic timestamp only. It does not establish ownership, enforceability, or legal rights.

4.4 Users are solely responsible for obtaining patents, trademarks, contractual agreements, or other legal protections.


Section 5

Encryption and Security Disclaimer

5.1 The Registry utilises industry-standard encryption protocols including AES-256-CBC encryption and SHA-256 hashing.

5.2 While reasonable and commercially appropriate security measures are implemented, no digital infrastructure can guarantee absolute security.

5.3 The Registry is not liable for:

  • Unauthorised access resulting from compromised user credentials
  • Security breaches caused by user device vulnerabilities
  • Sophisticated cyberattacks beyond reasonable control
  • Infrastructure failures of third-party providers

5.4 Users are responsible for maintaining the confidentiality of their login credentials.


Section 6

Blockchain Infrastructure Disclaimer

6.1 The Registry relies on third-party blockchain networks, including the Polygon network.

6.2 The Registry does not control blockchain validators, nodes, consensus mechanisms, network governance, or protocol updates.

6.3 The Registry shall not be liable for:

  • Network congestion
  • Transaction delays
  • Gas fee volatility
  • Blockchain forks
  • Protocol changes
  • Network outages
  • Permanent architectural changes to the blockchain

6.4 Blockchain transactions are irreversible once submitted.


Section 7

Payments, Fees, and Subscriptions

7.1 All fees are payable in advance and are non-refundable except as required under applicable Australian consumer law.

7.2 Registration fees must be successfully processed prior to blockchain submission.

7.3 Subscription services automatically renew unless cancelled in accordance with platform procedures.

7.4 Failure to maintain active subscription status may result in restricted platform access.

7.5 The Registry is not responsible for payment processor failures, financial institution actions, or currency exchange fluctuations.


Section 8

Record Maintenance and Platform Access

8.1 Blockchain records remain permanent and independently verifiable irrespective of subscription status.

8.2 Platform access to encrypted records, updates, sharing controls, and session logs may be restricted if maintenance fees lapse.

8.3 The Registry reserves the right to suspend or terminate accounts for:

  • Breach of these Terms
  • Fraudulent conduct
  • False identity submissions
  • Abuse of disclosure systems
  • Activity exposing the Registry to legal or regulatory risk

Section 9

Controlled Disclosure and Viewer Conduct

9.1 Users are solely responsible for determining whom they grant access to their material.

9.2 The Registry provides identity verification, watermarking, and session logging tools but does not guarantee prevention of reproduction, screenshots, photography, or recording.

9.3 The Registry is not liable for unauthorised dissemination of content by viewers.

9.4 Any disputes between originators and viewers are strictly between those parties.

9.5 Viewer identity data is collected for evidentiary purposes and disclosed to the originator.


Section 10

Limitation of Liability

To the fullest extent permitted by law:

10.1 The Registry shall not be liable for:

  • Loss of profits
  • Loss of commercial opportunity
  • Loss of intellectual property value
  • Business interruption
  • Reputational damage
  • Consequential, indirect, or special damages

10.2 The Registry’s total aggregate liability shall not exceed the total fees paid by the User to the Registry in the twelve (12) months preceding the event giving rise to the claim.

10.3 Nothing in these Terms excludes liability that cannot be excluded under Australian Consumer Law.


Section 11

Indemnity

You agree to indemnify and hold harmless The Idea Registry, its directors, officers, employees, contractors, and affiliates from any claims, losses, damages, liabilities, costs, or legal expenses arising from:

  • Your submitted content
  • Your breach of these Terms
  • Disputes with third parties
  • Intellectual property infringement claims
  • Misuse of the Platform

Section 12

Intellectual Property of the Platform

12.1 All platform software, smart contracts, systems architecture, branding, and proprietary processes remain the exclusive property of The Idea Registry.

12.2 Users are granted a limited, non-exclusive, non-transferable licence to access the Services.

12.3 Reverse engineering, copying, scraping, or unauthorised replication of the system is prohibited.


Section 13

Service Availability and Modification

13.1 The Registry does not guarantee uninterrupted access to Services.

13.2 Maintenance, upgrades, technical failures, or third-party outages may occur.

13.3 The Registry reserves the right to modify, suspend, or discontinue any aspect of the Services at its discretion.


Section 14

Governing Law and Jurisdiction

These Terms are governed by the laws of Western Australia and the Commonwealth of Australia.

Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Western Australia.


Section 15

Amendments

The Registry reserves the right to amend these Terms at any time. Continued use of the Services constitutes acceptance of the amended Terms.


Section 16

Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.


Section 17

Entire Agreement

These Terms constitute the entire agreement between the User and The Idea Registry regarding the Services and supersede any prior agreements or understandings.

The Idea Registry

These Terms and Conditions are effective as of March 1, 2026 and apply to all users of The Idea Registry platform and services.
